1. Agreement to these terms

These Terms & Conditions ("Terms") are a binding agreement between you and Zeemarq Pte. Ltd. ("Zeemarq", "we", "us", or "our"). They govern your access to and use of our omnichannel commerce platform, including the web application, integrations, and related services (the "Services").

By creating an account, connecting a store, or otherwise using the Services, you agree to these Terms and to our Privacy Policy. If you are using the Services for an organisation, you confirm that you are authorised to bind that organisation, and "you" means that organisation. If you do not agree, do not use the Services.

2. The Services

Zeemarq lets a seller manage products, inventory, orders, fulfilment, customer chat, and billing across multiple marketplaces and warehouses from one account. The features available to you depend on the plan you are subscribed to. We may add, change, or remove features over time, and we will give reasonable notice of any change that materially reduces the core functionality of your plan.

3. Your account

You must provide accurate registration details and keep them up to date. You are responsible for all activity under your account and for keeping your credentials secure. Tell us promptly if you suspect any unauthorised use. You must be able to form a binding contract to use the Services.

4. Plans, trials, and billing

Plan features and prices are published on our pricing page, which forms part of these Terms. Paid plans may begin with a free trial. Unless you cancel before the trial ends, the subscription continues on the plan you selected and the payment method on file is charged for the applicable billing period.

Subscriptions renew automatically for successive billing periods until cancelled. You can cancel at any time; cancellation takes effect at the end of the current paid period, and you keep access until then. Charges already incurred are non-refundable except where required by law. Taxes, where applicable, are added to the price. Payments are processed by our payment partners; their terms also apply to the payment itself.

5. Acceptable use

You agree not to:

• use the Services unlawfully, or to store or transmit unlawful, infringing, or harmful content;
• attempt to gain unauthorised access to the Services, other accounts, or our systems, or interfere with their normal operation;
• reverse engineer, resell, or sublicense the Services except as expressly permitted;
• use the Services to send unsolicited messages in breach of applicable law or a marketplace's own rules; or
• misuse a connected marketplace or payment integration in breach of that provider's terms.

We may suspend access where we reasonably believe these Terms are being breached or where continued use poses a security or legal risk.

6. Your data and connected stores

You retain ownership of the data you put into the Services, including your products, orders, and customer records ("Your Data"). You grant us the limited licence needed to host, process, and display Your Data so we can provide the Services, including syncing with the marketplaces and providers you connect. You are responsible for having the right to share Your Data with us and with those connected providers. Our handling of personal data is described in our Privacy Policy.

When you connect a marketplace or payment account, you authorise us to access and exchange data with that provider on your behalf for the purpose of operating the Services. You can disconnect a store at any time.

7. Intellectual property

The Services, including the software, design, and the Zeemarq name and marks, are owned by us or our licensors and are protected by law. We grant you a non-exclusive, non-transferable right to use the Services during your subscription, subject to these Terms. Nothing here transfers any of our intellectual property to you.

8. Third-party services

The Services integrate with third parties such as marketplaces and payment providers. We are not responsible for those third parties, their availability, or their terms, and your use of them is governed by their own agreements. A change a third party makes to its platform may affect the related Zeemarq feature.

9. Availability and changes

We aim to keep the Services available and reliable, but we do not guarantee uninterrupted access. We may carry out maintenance, and we may modify or discontinue parts of the Services. We will take reasonable steps to limit disruption and to notify you of material changes.

10. Disclaimers

To the extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be error-free or that defects will be corrected.

11. Limitation of liability

To the maximum extent permitted by law, neither party is liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability arising out of or relating to the Services is limited to the amounts you paid us for the Services in the twelve months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded by law.

12. Indemnity

You agree to indemnify us against claims, losses, and reasonable costs arising from your breach of these Terms, your misuse of the Services, or Your Data infringing the rights of a third party, except to the extent caused by us.

13. Term and termination

These Terms apply while you use the Services. You may stop using the Services and cancel your subscription at any time. We may suspend or terminate your access if you materially breach these Terms and do not remedy the breach within a reasonable period, or immediately where the breach cannot be remedied or the law requires it. On termination, your right to use the Services ends. We will make Your Data available for export for a reasonable period after termination, after which we may delete it in line with our Privacy Policy.

14. Governing law

These Terms are governed by the laws of Singapore, and the courts of Singapore have exclusive jurisdiction over any dispute arising out of or relating to them, without affecting any mandatory consumer protections available to you where you live.

15. Changes to these terms

We may update these Terms from time to time. If a change is material, we will give reasonable notice, for example by email or an in-product notice. Continuing to use the Services after a change takes effect means you accept the updated Terms.
